By accessing or using the Penny mobile application ("App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Penny ("we," "us," or "our").

2. Description of Service

Penny is a personal finance management application that provides:

  • Expense Tracking: Record and categorize your expenses
  • Google Sheets Sync: Automatic synchronization with your spreadsheets
  • Savings Plans ("My Plans"): Automated savings allocation based on income percentage
  • Budget Insights: Analysis and reporting of spending patterns
  • AI-Powered Features (Premium): Personalized expense personality reports and AI-driven savings goal recommendations

3. Eligibility

  • You must be at least 13 years old to use the App
  • You must provide accurate and complete account information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You may not use the App for any illegal or unauthorized purpose

4. Account Registration and Security

4.1 Account Creation

  • You must create an account using a valid email address
  • You agree to provide accurate, current information
  • You are responsible for all activity under your account

4.2 Account Security

  • You must keep your login credentials secure and confidential
  • You must notify us immediately of any unauthorized access
  • We are not liable for losses from unauthorized account use
  • You may not share your account with others

5. Subscription Terms

5.1 Subscription Plans

Penny offers two premium subscription options:

  • Monthly Subscription: $4.99/month, auto-renewing with 14-day free trial
  • Lifetime Bundle: $149.99 one-time payment for permanent access

5.2 Free Trial

  • New monthly subscribers receive a 14-day free trial
  • You will be charged after the trial ends unless you cancel
  • Cancel anytime during the trial to avoid charges
  • Free trial is available once per user

5.3 Billing and Auto-Renewal

  • Monthly subscriptions automatically renew unless cancelled
  • You will be charged through your App Store account
  • Charges occur 24 hours before the end of the current period
  • Subscriptions can be managed in your App Store account settings

5.4 Cancellation and Refunds

  • You may cancel your subscription at any time through the App Store
  • Cancellation takes effect at the end of the current billing period
  • No refunds for partial subscription periods unless required by law
  • Lifetime purchases are non-refundable after 14 days
  • Refund requests must be made through Apple App Store support

5.5 Subscription Features

Premium subscribers receive access to:

  • AI-Powered Saving Goals Engine with predictive analytics
  • Personalized "Expense Personality" reports
  • Advanced micro-adjustment recommendations
  • Goal success probability calculations
  • Unlimited savings goals and plans

Free users have access to:

  • Basic expense tracking
  • Google Sheets synchronization
  • Manual budget entry
  • Standard reports and insights

5.6 Subscription Expiration

  • When a subscription expires, AI features become locked
  • Your historical expense data remains accessible
  • You can resubscribe at any time to restore premium features

6. User Responsibilities

6.1 Accurate Data Entry

  • You are responsible for the accuracy of expense data you enter
  • Penny provides tools but does not guarantee financial accuracy
  • Always verify important financial calculations independently

6.2 Google Sheets Integration

  • You are responsible for creating and managing your Google Sheets webhook
  • We do not have direct access to your Google account or spreadsheets
  • Sync functionality depends on your webhook configuration
  • You control what data is sent to your spreadsheet

6.3 Prohibited Conduct

You agree NOT to:

  • Reverse engineer, decompile, or disassemble the App
  • Use the App for illegal activities or fraud
  • Attempt to access other users' accounts or data
  • Interfere with the App's operation or security
  • Upload malicious code or viruses
  • Share subscription access with unauthorized users
  • Scrape or copy App content without permission

7. Intellectual Property

7.1 Our Rights

  • All App content, features, and functionality are owned by Penny
  • Trademarks, logos, and brand elements are our property
  • You receive a limited, non-transferable license to use the App
  • You may not copy, modify, or distribute App materials without written permission

7.2 Your Data

  • You retain ownership of your expense data and personal information
  • You grant us a license to use your data to provide services
  • Anonymous, aggregated data may be used for service improvement
  • You can export or delete your data at any time

8. AI-Generated Content Disclaimer

8.1 AI Insights

Premium AI features (Expense Personality Reports and Saving Goal Recommendations) are:

  • Generated using artificial intelligence algorithms
  • Provided for informational and entertainment purposes only
  • Not professional financial advice
  • Based on patterns in your historical spending data

8.2 No Financial Advice

  • Penny does not provide professional financial, investment, or tax advice
  • AI recommendations are automated and may not suit your specific situation
  • Always consult qualified financial professionals for important decisions
  • We are not liable for financial decisions based on AI insights

9. Data and Privacy

  • Your use of the App is subject to our Privacy Policy
  • We implement industry-standard security measures to protect your data
  • Data is stored securely using Firebase infrastructure

10. Service Availability

10.1 Uptime and Maintenance

  • We strive for maximum uptime but cannot guarantee uninterrupted service
  • The App may be unavailable during maintenance or updates
  • We are not liable for service interruptions
  • Critical updates will be communicated in advance when possible

10.2 Feature Changes

  • We reserve the right to modify, add, or remove features at any time
  • Major changes will be communicated to users
  • Continued use after changes constitutes acceptance

11. Disclaimers and Limitations of Liability

11.1 Service "As Is"

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • No warranty of merchantability or fitness for a particular purpose
  • No guarantee of accuracy, reliability, or completeness
  • No warranty that the App will be error-free or uninterrupted

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid in the past 12 months
  • We are not liable for data loss, though we implement backups
  • We are not responsible for third-party integrations (Google Sheets, etc.)

11.3 Financial Loss Disclaimer

  • We are not responsible for financial losses based on App usage
  • Budget calculations and projections are estimates only
  • Always verify financial data independently
  • The App is a tool, not a substitute for professional financial management

12. Indemnification

You agree to indemnify and hold harmless Penny, its affiliates, officers, and employees from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your use or misuse of the App
  • Your violation of any third-party rights
  • Any false or inaccurate information you provide

13. Termination

13.1 By You

  • You may delete your account at any time through the App settings
  • Account deletion is permanent and cannot be undone
  • All your data will be deleted within 30 days

13.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse or misuse the service
  • Fail to pay subscription fees

13.3 Effect of Termination

  • Upon termination, your right to use the App ceases immediately
  • Subscription fees are non-refundable except as required by law
  • Certain provisions of these Terms survive termination (liability, indemnification, etc.)

14. Dispute Resolution

14.1 Informal Resolution

  • Before legal action, contact us to resolve disputes informally
  • Email support with detailed description of the issue
  • We will attempt good-faith resolution within 30 days

14.2 Arbitration Agreement

If informal resolution fails, disputes will be resolved through binding arbitration:

  • Each party pays their own costs unless otherwise awarded

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Penny regarding use of the App, superseding any prior agreements.
